Troika is out pf business and apparently Atarti is going under and has no interest in making another TB game. You guys should see if you can geth them to release the toee source and make it an open source game where you guys control the content.. It would make everything a lot easier for you to do.
This has long been a dream of ours; we'd settle for a complete set of modding tools, though....but even that isn't likely.

It would be wonderful if we could get our hands on the source code. Unfortunately, as long as there is the possibility of someone buying the engine, that is not likely to happen. In fact, I have heard a rumor that Troika/Atari has found a buyer. As far as the modding tools go, inside sources say that World Builder is already a far cry better than anything Troika had.
